Il dibattito sulla corporate governance si è per lungo tempo concentrato sul fenomeno della separazione tra proprietà e controllo che caratterizza le grandi public company anglosassoni. Secondo questa «impostazione ristretta», il buon governo delle imprese si ottiene progettando un consiglio di amministrazione in grado di guidare il comportamento dei manager verso la massimizzazione del valore azionario. In questo lavoro si adotta una «impostazione allargata» secondo cui: la corporate governance assume rilevanza in tutti i tipi di imprese; il management deve considerare gli interessi che convergono nell’impresa; il consiglio di amministrazione e numerosi altri processi contribuiscono a incentivare un’efficiente creazione e un’equa distribuzione di valore tra i vari stakeholder. Seguendo questa impostazione, la prima parte introduce il tema della corporate governance, presentando le teorie e i modelli che permettono di comprenderlo e di analizzarlo con padronanza. La seconda parte descrive i principali sistemi capitalistici e analizza i principali meccanismi di corporate governance nelle imprese italiane e straniere di grandi dimensioni.
Annotation This book will provide a comprehensive insight of the characteristics and development of corporate governance in Italy. Both the external institutional mechanisms, such as the codes of best practices and the mandatory auditor rotation, and the internal corporate governance devices, such as boardsâe(tm) structure and composition and director compensation, will be analyzed. In particular, this book is presented to provide the reader an insight on the ownership structure and the control enhancement mechanisms adopted by the Italian dominant shareholders as well as the typical - and unique - two tier-board structure, with a board of directors and a board of statutory auditors, that is widely adopted among Italian companies. This book reveals that while corporate governance in Italy has - to some extent - converged towards other European and international models, there are certain core features that remain (and are likely to do so in the near future as well) and their knowledge and understanding is relevant to investors and other stakeholders.
