Il dibattito sulla corporate governance si è per lungo tempo concentrato sul fenomeno della separazione tra proprietà e controllo che caratterizza le grandi public company anglosassoni. Secondo questa «impostazione ristretta», il buon governo delle imprese si ottiene progettando un consiglio di amministrazione in grado di guidare il comportamento dei manager verso la massimizzazione del valore azionario. In questo lavoro si adotta una «impostazione allargata» secondo cui: la corporate governance assume rilevanza in tutti i tipi di imprese; il management deve considerare gli interessi che convergono nell’impresa; il consiglio di amministrazione e numerosi altri processi contribuiscono a incentivare un’efficiente creazione e un’equa distribuzione di valore tra i vari stakeholder.
